Terms of Use

These Terms are the agreement between you and Kuberstar for the iOS app Safety Meeting: Toolbox Talks. Installing or using the app means you accept them. They apply in addition to Apple’s Licensed Application End User Licence Agreement, which also governs every app bought through the App Store. Where the two disagree about the licence itself, Apple’s agreement wins.

1. Your licence

We grant you a personal, non-exclusive, non-transferable licence to use ToolboxLog on Apple devices that you own or control, as permitted by the App Store Usage Rules. You may use it for your own business, on your own job sites, for as many meetings as your plan allows.

You may not:

• copy, resell, sublicense or rent the app itself;
• extract the bundled talk library in order to publish it, sell it, or ship it inside another product;
• reverse engineer, decompile or disassemble the app, except to the extent the law expressly permits despite this restriction;
• use the app to produce a document you know to be false, or to record a meeting or a signature that did not happen.

2. Your records are yours

Everything you create with ToolboxLog belongs to you: the meetings, the attendance, the signatures, the roster, the reports and any talks you write yourself. We claim no ownership of it, and, since it never leaves your device, we could not use it even if we wanted to. You are responsible for the accuracy of what you record and for keeping your own copies, which the export and backup features exist to make easy.

3. The talk library

The app ships 132 safety talks. 108 of them are written for ToolboxLog and are licensed to you for use in your own safety meetings, including reading them aloud and printing them inside the reports the app produces. The remaining 24 draw substantially on federal OSHA and NIOSH publications, which are in the public domain in the United States, and each one names the document it came from; the app lists every such citation in Settings, under About. Nothing in the library is taken from a source that reserves its rights.

4. Subscription, renewal and cancellation

ToolboxLog is free to use with a limit on how many new signed meetings and crew members you create. ToolboxLog Pro removes those limits.

• Name and length. ToolboxLog Pro, an auto-renewing subscription with a term of one year.
• Price. US$59 per year in the United States. The price shown in the app is the price for your storefront and currency, and it is the one that applies.
• Free trial. 2 weeks free for new subscribers, then the subscription begins at the price above. If you cancel during the trial, you are not charged.
• Payment. Charged to your Apple Account at confirmation of purchase.
• Renewal. Renews automatically for another year unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
• Cancelling. Manage or cancel at any time in your Apple Account settings, following Apple’s instructions. Deleting the app does not cancel a subscription.
• Refunds. Purchases are handled by Apple, so refunds are requested from Apple rather than from us. Write to us anyway if something went wrong; we would rather know.

What lapsing does not do. If your subscription ends, every record you have already signed stays on your device, stays viewable and stays shareable. We do not lock an archive you have already created, at any time, for any reason.

5. Not legal advice, and not a government product

ToolboxLog cites regulations, counts meeting deadlines and prints retention notices so that you can check them against the rule itself. It is a record-keeping tool, not a compliance service and not a law firm. Nothing it displays or prints is legal advice, and using it does not by itself make you compliant with any regulation.

ToolboxLog is a private product. It is not affiliated with, endorsed by, or approved by OSHA, Cal/OSHA, the US Department of Labor, or any government agency. Whether a particular record satisfies a particular obligation is a question for you and your own advisers.

6. Availability and changes

We may change, add or remove features, and may update the bundled talk library. Talks you have written yourself are never overwritten by an update, and a record you have already signed keeps its own snapshot of the topic text as it was read, so a library update cannot change the content of a document you already produced.

We may update these Terms. The current version is always the one on this page, with the date at the top. If a change is material, it will also be noted in the app’s release notes. Continuing to use the app after a change means you accept the updated Terms.

7. No warranty

The app is provided “as is”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the app will be uninterrupted, error free, or that any record it produces will be accepted by any inspector, insurer, client or court.

Nothing here limits rights you have as a consumer that cannot be limited by agreement under the law that applies to you.

8. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, for lost profits, for lost business, or for the loss or corruption of records, however caused. Our total liability arising out of or relating to the app is limited to the amount you paid for it in the twelve months before the claim arose.

Records live on your device. Keeping your own copies, by device backup, by the zip export or by the iCloud Drive backup the app can write, is your responsibility, and it is the only protection against a lost or broken phone.

9. Termination

You may stop using the app at any time by deleting it, and may cancel a subscription as described above. We may terminate this licence if you breach these Terms in a way you do not fix after being asked. Sections 5, 7, 8 and 10 survive termination.

10. Apple, and the law that applies

Apple is not a party to these Terms and has no obligation to provide support for the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your licence to run the app is governed by Apple’s Licensed Application End User Licence Agreement. Where these Terms apply in addition to that agreement, they are governed by the law of the place where Kuberstar is established, without regard to its conflict-of-law rules, and without depriving you of the protection of the mandatory consumer law of your own country of residence.
